Jacques Lemay
Jacques Lemay has been a visiting professor at HEC Montréal since 2009, and Director of the Department of Finance since 2019. He teaches courses in securities trading ethics and regulation, governance, acquisition and restructuring, risk capital and innovation funding. He participates in the HEC’s governance bodies, including the Academic Council and the Research Ethics Board.
Jacques is a lawyer by training and a member of the Quebec Bar. He has an MBA from HEC Montréal and a Master of Laws from Université de Montréal. Among other things, he is interested in the connection between ethics and law. Before joining the HEC in 2009, he was an investment banker in the securities industry for 19 years. Over the course of his banking career, he was involved with the securities industry self-regulatory organization. He has since been a hearing panel member for the organization’s disciplinary matters.

Stéphane Rousseau
Stéphane Rousseau is a Professor and Chair in Governance and Business Law at the Faculty of Law, Université de Montréal. He has a Doctorate of Laws degree from the University of Toronto, and is a renowned expert in corporate law, corporate governance and capital market law.
A member of the Quebec Bar, Stéphane is an independent director on the Board of Directors of the Chambre de la sécurité financière. He is also a member of the Montréal Exchange’s disciplinary committee and the Investment Industry Regulatory Organization of Canada’s disciplinary panel. Stéphane received the Advocatus Emeritus (Ad. E.) distinction, which recognizes professional excellence. In 2019, he was awarded the Paul-André Crépeau Medal for his contribution to the advancement of the international dimension of private and commercial law in Canada.

Simon Denault
Simon Denault is a lawyer who earned his MSc in management from HEC Montréal. He has 15 years of leadership and advisory experience in ethics, governance and government affairs.
He is currently in charge of compliance and risk management for the Université de Montréal. He was also one the driving forces behind the creation of the Certification in Ethics and Compliance program at Executive Education HEC Montréal and sits on the program’s education committee.
Former roles include management positions with the Caisse de dépôt et placement du Québec and prominent professional associations. He has also served on the boards of several charitable organizations.

A lawyer by training who was called to the bar in 2009, Marie-Andrée Alain has held a variety of roles at Desjardins Group in compliance, privacy and financial crime since 2010.

Pierre-Marc Bellavance
Pierre Marc Bellavance is Executive Vice-President and Leader, Legal Affairs, Compliance and Corporate Secretary, at Beneva.
After beginning his career in 1995 as a litigator in private practice, he made the leap to the insurance industry in 1998 when he took on an active role, as shareholder and senior executive, in setting up a new insurance company. From 2009 to 2020, he served as Vice-President of Legal Affairs and Corporate Secretary of La Capitale.
In his current role at Beneva — the company created by the merger of La Capitale and SSQ — he acts as a legal and strategic advisor to board members on all matters related to corporate governance, commercial transactions, compliance and litigation.
Mr. Bellavance has been the chair of the Board of Directors of Moi et Ma Planète since January 2020, a board member of Lawyers Without Borders Canada since 2023 and a member of the Barreau du Québec’s Disciplinary Council since 2019. During her 20 years with the Forensic practice, she managed several forensic and investigative cases, including investigations into suspected and alleged frauds, bribery and corruption pursuant to the Foreign Corrupt Practices Act (FCPA) and the Corruption of Foreign Public Officials Act (CFPOA), secret commissions, non-compliance with company policies and other financial irregularities. She conducted and assisted law enforcement agencies in investigations that involved obtaining search warrants, interviewing witnesses and interrogating suspects, establishing facts and circumstances, preparing summaries of evidence and reports, and testifying in court. Frédéric Prat
Frédéric Prat has extensive experience in financial institutions. After attending the Université de Bordeaux, where he earned a post-graduate diploma in banking, finance and international trading, he began his career in municipal and healthcare financing. He subsequently developed his expertise in compliance, risk management and financial crime prevention.
He worked at Desjardins for 13 years, following which he joined CDPQ in 2017, first in risk management and then with the sustainable investing team, where he is currently in charge of financial crime prevention.

Manon Roy
Over the past 20 years, she has conducted multiple financial investigations, and has earned an enviable reputation on the international scene, notably as a result of numerous major investigations conducted in Canada, France and Africa.
